Private Sale Notice

This Private Sale Notice explains important information regarding any future AIMA Private Sale process.

1. Private Sale Not Active

The AIMA Private Sale is not currently active.

The website may display Private Sale information, Tokenomics, allocation details, Vesting rules, Smart Contract addresses or waitlist forms. This does not mean that token purchasing is enabled.

Purchase functionality remains disabled unless and until the official AIMASale Smart Contract indicates that the sale is active on-chain.

2. Restricted Participation

Any future Private Sale is restricted. It is not a public sale and not open to the general public.

Participation may be subject to:

  • ·eligibility review;
  • ·KYC;
  • ·sanctions screening;
  • ·jurisdictional restrictions;
  • ·internal approval;
  • ·wallet verification;
  • ·signed Private Token Purchase Agreement;
  • ·acceptance of risk disclosures.

3. No Automatic Right to Participate

Submitting an Investor Waitlist form or Strategic Investor Request form does not create any right to participate, receive an allocation, purchase tokens or enter into any agreement with AIMA.

AIMA may accept, reject, delay, limit or decline any request at its discretion, including for legal, compliance, operational, risk or strategic reasons.

4. Restricted Jurisdictions

Certain jurisdictions may be restricted. Persons located in, resident in, citizens of, or acting on behalf of persons from restricted jurisdictions may not be eligible to participate.

AIMA may require participants to confirm that they are not a prohibited person and are not acting on behalf of a prohibited person.

5. No United States Participation

Unless expressly approved under a specific legal framework, the Private Sale is not intended for United States persons, residents, citizens or persons acting on behalf of United States persons.

6. Payment Assets

If the Private Sale becomes active, accepted payment assets may include USDC and USDT on Arbitrum One, subject to the official purchase flow and Smart Contract configuration.

Users must not send USDC, USDT or any other assets directly to the Safe Treasury.

7. Official Purchase Flow

Automated purchases, if enabled, will only be processed through the official AIMASale Smart Contract on Arbitrum One.

Users should verify:

  • ·the official website domain;
  • ·the correct network: Arbitrum One;
  • ·the official AIMASale Smart Contract address;
  • ·the selected payment asset;
  • ·wallet permissions and approvals;
  • ·transaction details before signing.

8. Vesting

Tokens purchased or allocated through the Private Sale may be subject to Vesting restrictions. Vesting means that tokens may not be immediately claimable and may unlock according to predefined schedules.

The applicable Vesting schedule will depend on the allocation tier, signed documentation and official Smart Contract logic.

9. No Guarantee

Participation in any Private Sale does not guarantee:

  • ·token price appreciation;
  • ·liquidity;
  • ·exchange listing;
  • ·future revenue;
  • ·profit;
  • ·platform success;
  • ·secondary market availability;
  • ·regulatory approval;
  • ·uninterrupted technical operation.

10. Required Documentation

Before any approved participation, a participant may be required to sign or accept documentation, including:

  • ·Private Token Purchase Agreement;
  • ·KYC / Investor Declaration;
  • ·risk disclosures;
  • ·jurisdictional confirmations;
  • ·wallet ownership confirmations.

11. Final Confirmation

Any official Private Sale participation must be confirmed through the approved AIMA process. Public website information alone is not sufficient to establish participation rights.

If in doubt, do not send funds and contact the official AIMA communication channel.
